Ovintiv to Acquire Logan Energy in $890M Montney Expansion

On October 26, 2026, upstream producer Ovintiv Inc. entered into a definitive agreement to acquire Canadian operator Logan Energy Corp. in an all-cash transaction valuing Logan at approximately $890 million (C$1.26 billion) including expected net debt. Under the arrangement agreement, Logan shareholders will receive C$1.40 per share in cash alongside a tax-free corporate spin-out of non-core exploration properties into a newly created entity, Logan Oil Corp. The deal significantly scales Ovintiv’s footprint in the Montney oil window, adding 266,000 net acres and 20,000 barrels of oil equivalent per day.

The transaction represents a strategic consolidation within the Western Canadian Sedimentary Basin. By securing contiguous acreage, gathering assets, and battery capacity, Ovintiv is expanding its top-tier drilling inventory while funding the purchase through existing balance-sheet liquidity, credit facility borrowings, and commercial paper.

Transaction Terms and Valuation Structure

The acquisition values Logan Energy at an enterprise value of approximately $890 million (C$1.26 billion), based on the C$1.40 per share cash consideration and Logan’s net debt at closing. Ovintiv stated that the acquisition will be funded through a combination of the company’s cash on hand, borrowings under its credit facility, and its commercial paper program. Following closing early in the first quarter of 2027, Ovintiv expects its pro forma Net Debt to remain below $4 billion, maintaining financial flexibility without compromising its core capital return framework.

Ovintiv confirmed that its shareholder returns policy will remain unchanged, targeting 2026 capital returns of at least 60% of Non-GAAP Free Cash Flow via share repurchases and regular base dividends, and between 50% and 100% beyond 2026. Furthermore, management projects the acquisition to be immediately accretive across all primary financial metrics, generating approximately 5% accretion to Non-GAAP Cash Flow per share and 3% accretion to Non-GAAP Free Cash Flow per share in 2027.

Montney Acreage Scale and Infrastructure Assets

The transaction expands Ovintiv’s total core position in the Montney fairway from 454,000 net acres to approximately 720,000 net acres. The acquired properties are located in the Simonette and Pouce Coupe areas of Alberta and British Columbia, with roughly 80% of the 200,000 core acres remaining undeveloped. In addition to the Montney fairway, the transaction includes approximately 60,000 net acres providing exposure to the emerging Duvernay shale formation.

Operationally, the acquired assets yield approximately 20,000 BOE/d, comprising roughly 7,000 barrels per day of light oil and condensate, 70 million cubic feet per day of natural gas, and 1,000 barrels per day of other natural gas liquids. Critically for capital efficiency, the purchase adds 420 total net 10,000-foot equivalent well locations, of which 220 are classified as premium return locations. Ovintiv defines premium locations as those delivering an internal rate of return exceeding 35% at $55 per barrel WTI crude and $2.75 per MMBtu NYMEX natural gas prices.

Midstream and gathering infrastructure forms a core component of the transaction value. The deal transfers 100% ownership in two newly built Simonette oil batteries with a combined handling capacity of 24,000 barrels per day, alongside working interests in two regional natural gas processing facilities (50% in a 90 MMcf/d Simonette plant and 65% in a 57 MMcf/d Pouce Coupe plant). These integrated midstream assets give Ovintiv direct control over processing logistics, lowering gathering tariffs and supporting future production growth.

Spin-Out Structure of Logan Oil Corp. and Synergies

To focus the acquired perimeter purely on the Montney and Duvernay windows, the transaction incorporates a structured corporate carve-out. Prior to the completion of the acquisition, 100% of the common shares of Logan Oil Corp., a newly established operating subsidiary, will be spun out directly to Logan Energy shareholders. Similar to structural corporate spinoffs and carve-outs executed in public equity markets, this separation ensures that legacy non-Montney exploration acreage is retained by selling shareholders while Ovintiv assumes full operational control of the core basin assets.

Ovintiv expects to capture approximately $60 million in recurring annual cost synergies from the transaction. Management indicated that more than $2 million per well in capital cost reductions will be realized immediately by applying Ovintiv’s existing Montney drilling templates, pad-scale logistics, and completion designs across Logan’s acreage. Production cost savings and general overhead reductions will contribute the remainder of the projected synergy target.

Capital Structure Impact and Next Steps

From a capital markets perspective, Ovintiv’s reliance on liquidity tools such as commercial paper and credit facilities mirrors wider corporate strategies where issuers leverage flexible short-term debt during M&A execution. Similar to how corporate borrowers utilize revolving credit facilities and liquidity management to bridge transaction closings without issuing dilutive equity, Ovintiv is protecting equity per-share value while keeping long-term leverage in check. As seen across recent M&A cash and debt financing structures, investment-grade balance sheets offer substantial borrowing capacity to absorb bolt-on additions.

The transaction has been unanimously approved by the boards of directors of both Ovintiv and Logan Energy. Closing is slated for early in the first quarter of 2027, subject to customary closing conditions including approval by Logan shareholders, Canadian court sanction under a plan of arrangement, and antitrust regulatory clearances under the Canadian Competition Act.
