AMC Entertainment launched financing transactions with $3.97 billion of stated gross principal on September 21, 2026, alongside a cash tender offer for its 7.500% secured notes due 2029. The components do not all have the same status: AMC commenced a $2.0 billion first-lien notes offering, launched syndication of an $850 million first-lien term loan, and entered a commitment letter for a $1.12 billion second-lien term loan.
The distinction matters. The first-lien transactions remain subject to market and other conditions. The second-lien commitment remains subject to definitive credit documents and customary closing conditions, including completion of the first-lien financing. The announced $3.97 billion is therefore a target gross financing amount, not cash already received and not the principal amount of debt already retired.
Key Takeaways
- Three financing statuses: marketed notes, a syndicated first-lien loan and a conditionally committed second-lien loan.
- Gross financing is not net debt reduction: AMC plans to combine financing proceeds with cash on hand to refinance debt and pay fees, premiums, accrued interest and expenses.
- Tender offer has its own conditions: the offer for $359.965 million of 2029 notes depends on financing and other conditions, but has no minimum tender amount.
- Preliminary operating data are limited: AMC’s July–August figures are unaudited management estimates for two months, not a complete quarter or full-year result.
Financing Stack: Marketed, Syndicated and Committed
AMC’s SEC-filed financing announcement and Form 8-K describe the following structure.
| Component | Stated principal | Status on Sept. 21 | Disclosed term |
|---|---|---|---|
| First-lien notes | $2.000B | Private offering commenced; subject to market and other conditions | Due 2031; coupon and price not yet disclosed |
| First-lien term loan | $0.850B | Syndication launched; subject to market and other conditions | Expected five years from offering close; rate not yet disclosed |
| Second-lien term loan | $1.120B | Commitment letter with Deutsche Bank; definitive documents and closing conditions remain | Expected seven years; fixed 11.25% annual rate |
| Stated total | $3.970B | Target gross financing | Not reported net proceeds |
The notes and new term loan facilities are expected to be jointly and severally guaranteed by specified existing and future wholly owned subsidiaries, including Muvico, Odeon Cinemas Group Limited and certain Odeon subsidiaries. The final collateral and documentation should be checked after closing; the announcement is not a substitute for executed indentures and credit agreements.
Planned Sources and Uses
AMC says it intends to use net notes proceeds, term-loan proceeds and cash on hand for six purposes:
- Fund the tender offer for AMC’s 7.500% senior secured notes due 2029.
- Redeem on or about February 15, 2027 any of those notes not tendered or accepted.
- Redeem Muvico’s senior secured notes due 2029 in full.
- Repay the existing AMC/Muvico term loans in full.
- Repay the Odeon term loans in full.
- Pay related fees, costs, premiums and expenses.
This list explains why $3.97 billion of gross financing should not be described as $3.97 billion of debt extinguishment. Original-issue discounts and transaction costs can reduce net proceeds, redemption and tender premiums can exceed principal, accrued interest consumes cash, and AMC plans to use cash on hand as an additional source.
Debt Tender Offer: Price and Conditions
AMC’s SEC-filed tender announcement seeks any and all $359,964,500 outstanding principal of its 7.500% secured notes due 2029. The stated purchase price is $1,009.70 per $1,000 principal, plus accrued and unpaid interest. The offer was scheduled to expire at 5:00 p.m. New York City time on September 30, unless extended or terminated.
The tender is conditioned on one or more financing transactions generating at least $3.97 billion of gross proceeds and on other general conditions in the offer documents. It is not conditioned on a minimum amount of notes being tendered. AMC says it intends to redeem around February 15, 2027 notes that are not tendered, but the 8-K itself is not a redemption notice.
AMC also said the planned Muvico redemption depends on financing transactions producing at least $3.97 billion of gross proceeds by the applicable redemption date. Its announcement says there is no assurance when or whether the financings or conditions will be completed and that the company may waive conditions at its discretion.
What the 11.25% Second-Lien Rate Implies
If the entire $1.12 billion second-lien principal were outstanding for a full year at the stated 11.25% fixed annual rate, simple multiplication gives approximately $126 million of annual interest:
$1.12 billion × 11.25% = $126 million.
This is an illustrative annualized amount, not disclosed cash interest expense or a payment schedule. It excludes fees, original-issue discount, principal amortization, partial-year timing and any later refinancing or repayment. The definitive credit agreement will govern actual payments.
Two Months of Preliminary Operating Context
AMC separately filed preliminary July–August operating data. Consolidated revenue was estimated at $1.3348 billion, up 42.2% from $937.2 million a year earlier. Attendance was 58.203 million, up 35.9%; admissions revenue per patron was $12.89 and food-and-beverage revenue per patron was $7.90. Estimated cash and cash equivalents were $832.5 million at August 31, excluding $40.9 million of restricted cash.
The exhibit labels the data preliminary and unaudited, based on management’s current estimates and subject to completion of reporting processes. It also says the figures are not a comprehensive statement of results. North American box office figures in the exhibit come from Comscore and Rentrak and represent gross industry ticket sales, not revenue retained by AMC.

Correction, September 21, 2026: The original version described the announced financing as a completed balance-sheet overhaul, treated the $3.97 billion gross target as debt restructured, omitted several stated uses of cash, and cited the 8-K body instead of the direct exhibit for preliminary operating data. Transaction statuses, sources and uses, conditions and evidence links have been corrected.
